Lips Boutique® by J.K.A Membership Agreement

Effective Date: January 28, 2025

Terms and Conditions

This Membership Agreement governs participation in the Lips Boutique® Skin Club and the Lips Boutique® Skin Elite Program (collectively referred to as the “Membership Programs”) offered by Lips Boutique® & Beauty Lab (“the Clinic”).

By purchasing a Membership, the client (“Client”) acknowledges and agrees to the following Terms and Conditions.

1. Nature of Services

Membership Programs include professional aesthetic and medical aesthetic services intended to improve the appearance and condition of the skin.

Services may include treatments classified as cosmetic procedures and/or medical aesthetic procedures performed under appropriate professional supervision or medical directive where applicable.

Medical aesthetic procedures may involve controlled acts authorized under Ontario regulations and performed by qualified healthcare professionals acting within their scope of practice.
Services are elective in nature and are not medically necessary treatments.
Individual results may vary.

2. Membership Options

2.1. Lips Boutique® Skin Club

Fee:
$500 per 6-month membership term

Treatment Frequency Guideline:
Up to two (2) facial treatments per calendar month, subject to provider assessment and appointment availability.

Treatments included consist of customized medical-grade facials selected based on skin condition at the time of appointment.

Examples may include:

  • Deep Cleansing Facial
  • Hydration Facial
  • Brightening Facial
  • Anti-Aging Facial
  • Even Skin Tone Facial
  • Oil Control Facial
  • Circulation Support Facial
  • Rejuvenation Facial
  • Enzyme Facial
  • Gentle Exfoliation Facial
  • Customized Medical-Grade Facial

Treatment selection is determined by the provider based on skin condition, treatment suitability, and professional judgment.

2.2. Lips Boutique® Skin Elite Program

Fee:
$1,850 per 6-month membership term

Treatment Frequency Guideline:
One (1) advanced treatment per calendar month, subject to provider assessment and clinical suitability.

Treatments may include advanced aesthetic or medical aesthetic procedures intended to support skin renewal, collagen stimulation, and overall improvement in skin appearance.

Examples may include:

  • Microneedling
  • Microneedling with hyaluronic acid
  • Microneedling with PDRN
  • Microneedling with peptides or exosomes
  • Advanced exfoliation treatments
  • Laser peel procedures where clinically appropriate
  • Acne-focused treatments
  • Skin renewal procedures
  • Regenerative facials where appropriate
  • Customized advanced skin protocols

Treatment selection is based on provider assessment, clinical suitability, and professional judgment.

Certain treatments may be performed under medical directive or physician oversight where required by Ontario regulations.

3. Professional Assessment and Treatment Suitability

All treatments provided under Membership Programs are subject to professional consultation and clinical judgment.

The Clinic reserves the right to:
modify treatment selection
adjust treatment frequency
recommend alternative treatments
postpone treatment
decline treatment

where clinically appropriate or necessary for Client safety.

Suitability for treatment may depend on factors including:
medical history
skin condition
contraindications
pregnancy or breastfeeding
recent procedures
medications
skin sensitivity
sun exposure
active skin concerns

Membership does not guarantee eligibility for any specific treatment.

Treatment recommendations may change throughout the membership period as skin condition evolves.

4. Membership Term

Membership Programs are valid for six (6) months from the date of purchase.

All treatments must be used within the membership period.

Unused treatments expire at the end of the membership term.

Memberships do not automatically renew unless Client enrolls in an autopay subscription option where available.

Memberships may not be paused, extended, or suspended except at the sole discretion of the Clinic in limited circumstances.

5. Payment Terms

Membership fees may be paid:

In full at time of purchase or through monthly autopay where available.

Autopay agreements require commitment for the full 6-month membership term.

Client is responsible for maintaining valid payment information.

Failure to complete payments may result in suspension of membership benefits until payment obligations are satisfied.

Membership benefits may not be used while payments are outstanding.

6. Refund Policy

Membership fees are non-refundable once:
the first treatment has been performed OR fourteen (14) days have passed from the date of purchase whichever occurs first.

Membership fees are not refundable due to:
change of mind
relocation
schedule conflicts
non-usage of services
personal preference
dissatisfaction with subjective results
medical contraindications identified after purchase

Partially used memberships are not eligible for refund.

Unused sessions hold no cash value.

Nothing in this section is intended to limit any rights that cannot legally be excluded under applicable Ontario consumer protection legislation.

7. Transferability

Memberships are non-transferable.
Membership services may only be used by the registered Client.
Membership benefits may not be shared, gifted, sold, or exchanged.
Membership benefits may not be redeemed for cash value or credit.

8. Appointment Policy

Appointments must be cancelled or rescheduled with at least twenty-four (24) hours notice.
Appointments cancelled with less than required notice may result in forfeiture of that treatment session.
Missed appointments may be counted as used sessions.
Repeated missed appointments may result in limitations on advance booking privileges.
Clients are responsible for scheduling appointments within the membership period.

9. Treatment Frequency Guidelines

Treatment frequency guidelines are designed to support safe and effective treatment outcomes.
Skin Club:
maximum two (2) treatments per month
Skin Elite Program:
maximum one (1) treatment per month
Providers may adjust treatment timing based on clinical judgment and skin response.
The Clinic reserves the right to space treatments appropriately for safety and optimal results.

10. No Cash Value

Membership benefits:
have no cash value
cannot be exchanged for cash
cannot be redeemed for alternative services
cannot be exchanged for retail products
cannot be transferred as credit
unless otherwise determined by the Clinic.
Membership benefits are intended solely for designated treatments included in the Membership Program.

11. Results Disclaimer

Individual results vary.
Membership Programs are designed to support improvement in skin appearance through consistent professional care.

Treatment outcomes depend on multiple factors including:
skin condition
age
lifestyle
genetics
home care compliance
treatment consistency
environmental exposure

The Clinic does not guarantee specific aesthetic outcomes.

12. Client Responsibilities

Client agrees to:
provide accurate and complete medical history
inform the Clinic of relevant medical conditions
follow pre-treatment and post-treatment instructions
attend scheduled appointments
use appropriate home care products where recommended
communicate adverse reactions promptly

Failure to follow professional recommendations may impact treatment outcomes.

13. Right to Refuse or Discontinue Service

The Clinic reserves the right to refuse or discontinue treatment where:
treatment is not clinically appropriate
contraindications exist
Client safety may be compromised
Client expectations are unrealistic
Client displays inappropriate conduct
Client fails to comply with Clinic policies
Client safety remains the primary priority.

14. Modification of Membership Programs

The Clinic reserves the right to modify treatment protocols or Membership structure where necessary to maintain clinical standards or improve service quality.

Clients will continue to receive services of reasonably equivalent value within their Membership category.

15. Limitation of Liability

To the extent permitted by law, Lips Boutique® & Beauty Lab shall not be liable for outcomes influenced by:
individual biological variability
undisclosed medical conditions
failure to follow aftercare instructions
use of non-recommended skincare products
treatments performed outside the Clinic
environmental or lifestyle factors

Client acknowledges aesthetic treatments involve variability in individual response.

16. Governing Law

This Agreement shall be governed by the laws of the Province of Ontario and the applicable laws of Canada.

Any disputes arising under this Agreement shall be subject to the jurisdiction of Ontario courts.

17. Acknowledgement

By purchasing a Membership, the Client confirms that:
they have read and understood these Terms and Conditions
they understand the structure of the Lips Boutique® Skin Club or Lips Boutique® Skin Elite Program
they understand membership fees are non-refundable after activation as described above
they understand treatment outcomes cannot be guaranteed
they agree to comply with Clinic policies
they understand Membership benefits are non-transferable
they consent to treatment recommendations made by Clinic providers
